1. Service Description

QR Digital Label ("the Service") is a software-as-a-service (SaaS) platform that enables businesses to create, manage, and publish EU-compliant digital product labels accessible via QR codes. The Service is operated by QR Digital Label and accessible at qrdigitallabel.com and related domains.

2. Acceptance of Terms

By creating an account or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree, you must not use the Service.

3. Account Registration

3.1 Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding agreement to use the Service.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@qrdigitallabel.com if you suspect unauthorised access to your account. We are not liable for any loss resulting from unauthorised use of your account.

3.3 Accurate Information

You agree to provide accurate and complete information during registration and to keep your account information up to date.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload content that is defamatory, obscene, fraudulent, or that infringes the rights of any third party.
• Attempt to gain unauthorised access to the Service, other accounts, or related systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools (bots, scrapers) to access the Service without our prior written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Resell, sublicense, or redistribute the Service without authorisation.

We reserve the right to suspend or terminate your account if you violate these terms.

5. Subscription Plans and Billing

5.1 Plans

5.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All prices are listed in euros (EUR) and are exclusive of applicable VAT unless otherwise stated.

5.3 Payment

Payment is processed securely via our third-party payment processor (Stripe). By subscribing to a paid plan, you authorise us to charge your selected payment method for the applicable fees.

5.4 Refunds

We do not offer refunds for partial billing periods. If you cancel your subscription, you will retain access to paid features until the end of your current billing period.

5.5 Price Changes

We may adjust our pricing from time to time. We will provide at least 30 days' notice before any price change takes effect. Continued use after the new pricing becomes effective constitutes acceptance of the updated pricing.

6. Intellectual Property

6.1 Your Content

You retain full ownership of all content you create, upload, or input into the Service, including product data, label content, images, and logos ("Your Content"). By using the Service, you grant us a limited, non-exclusive licence to host, display, and process Your Content solely for the purpose of providing the Service.

6.2 Our Service

The Service, including its design, code, features, documentation, and branding, is owned by QR Digital Label and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand elements.

6.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, we may use them without obligation to you.

7. Data Processing and Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

If you use the Service to process personal data of your own customers (e.g., in label content), you are the data controller for that data, and you are responsible for ensuring your use complies with applicable data protection laws, including the GDPR.

8. Availability and Support

8.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not liable for the accuracy, completeness, or regulatory compliance of label content you create using the Service. You are solely responsible for ensuring your labels comply with applicable EU regulations.

10. Indemnification

You agree to indemnify and hold harmless QR Digital Label, its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

11.1 By You

You may cancel your account at any time through your account settings or by contacting us at support@qrdigitallabel.com.

11.2 By Us

We may suspend or terminate your account if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law. We will provide reasonable notice where possible.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be permanently deleted, except where retention is required by law.

12. Changes to These Terms

We may update these Terms from time to time. Each version is identified by a version number and effective date at the top of this document. We will notify you of material changes via email or an in-app notification at least 30 days before the new terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Belgium. Any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Belgium. Nothing in these Terms limits your rights under mandatory consumer protection laws of your country of residence within the EU.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
